These Terms and Conditions (“Terms”) govern your use of the eMedHub hospital management software and related services provided by ICA Healthcare Private Limited (“Company”, “we”, “us”). By accessing or using our services, you agree to be bound by these Terms.
1. Acceptance of Terms
By creating an account, accessing, or using the eMedHub platform, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you are using the service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.
2. Service Description
eMedHub is a cloud-based hospital management software (HMS) that provides integrated modules for hospital operations including patient management, billing, pharmacy, laboratory, radiology, appointments, and more. The service is provided on a Software-as-a-Service (SaaS) subscription basis.
3. User Accounts and Responsibilities
- You are responsible for maintaining the confidentiality of your account credentials
- You must provide accurate and complete information during registration
- You must not share your login credentials with unauthorized individuals
- You are responsible for all activities that occur under your account
- You must promptly notify us of any unauthorized use of your account
- You must comply with all applicable healthcare regulations when using the platform
4. Data Ownership
You retain full ownership of all data entered into the eMedHub platform, including patient records, billing data, and administrative information. We do not claim any ownership rights over your data. Upon termination of the service, you may request a complete export of your data in a standard format within 30 days.
5. Licensing
We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the eMedHub software during the term of your subscription. This license does not include the right to: modify, reverse engineer, or create derivative works of the software; sublicense, sell, or redistribute the software; or use the software for any purpose other than hospital management.
6. Service Level Agreement
We strive to maintain 99.9% uptime for the eMedHub platform. Scheduled maintenance windows will be communicated at least 48 hours in advance and will be scheduled during off-peak hours (typically 2:00 AM to 5:00 AM IST). Enterprise plan customers receive a formal SLA with defined remedies for downtime.
7. Subscription and Payments
- Subscription fees are billed monthly or annually as per the selected plan
- Prices are in Indian Rupees (INR) and exclusive of applicable GST (18%)
- Payment is due within 15 days of invoice date
- We reserve the right to modify pricing with 30 days advance notice
- Refunds for annual plans are prorated based on remaining subscription period
8. Limitations of Liability
To the maximum extent permitted by law, eMedHub shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, business, or goodwill, arising out of or in connection with the use of our services. Our total liability shall not exceed the amount paid by you for the service in the 12 months preceding the claim.
9. Intellectual Property
The eMedHub platform, including its software, design, logos, trademarks, documentation, and all related intellectual property, is owned by ICA Healthcare Private Limited. Nothing in these Terms transfers any intellectual property rights to you except the limited license granted above.
10. Termination
- Monthly subscriptions may be cancelled at any time with 30 days notice
- Annual subscriptions may be cancelled with prorated refund for unused months
- We may suspend or terminate accounts that violate these Terms
- Upon termination, you have 30 days to export your data
- After 60 days post-termination, we may permanently delete your data
11. Governing Law and Jurisdiction
These Terms shall be governed by and construed in accordance with the laws of India. Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts in Coimbatore, Tamil Nadu, India. Before initiating legal proceedings, both parties agree to attempt resolution through good-faith negotiation for a period of 30 days.
12. Changes to These Terms
We reserve the right to modify these Terms at any time. Material changes will be communicated via email or platform notification at least 30 days before they take effect. Continued use of the service after changes constitutes acceptance.
